It governs the delivery, maintenance, insurance and eventual return of the equipment at the end of the project. The agreement applies to all proprietary tools, whether they are shipped from abroad or manufactured locally at the buyer’s expense. Its protection stops if the buyer fails to properly identify the tools or if the contract allows the supplier to keep them as a form of security for unpaid debts.

Asset Control
Maintaining the physical security of a mold requires a set of rules that go beyond a simple purchase order. The tooling bailment agreement includes a requirement for the factory to mark every piece of equipment with a permanent metal tag that identifies the buyer as the owner. This physical label is a vital piece of evidence if the court needs to perform an on-site inspection.
The agreement also specifies that the tools must be kept in a separate, secure area and cannot be moved to another facility without written consent. This prevents the supplier from subcontracting the work to an unvetted third party and losing track of the proprietary assets. For a foreign company, this level of control is necessary to protect the quality of the final product and the integrity of the design.
The document should also require the factory to provide regular photos or videos of the tools in use to prove they are still on site. This administrative check is the only way to ensure that the equipment is being used according to the agreed-upon schedule. If the supplier refuses an audit, the buyer can use the agreement to terminate the relationship and demand the immediate return of the property.
Factory Access
Ensuring the right to retrieve equipment at any time is a central pillar of a secure manufacturing strategy in the mainland. The tooling bailment agreement must include a clause that allows the buyer or their representative to enter the factory and remove the tools without prior notice. This “self-help” provision is difficult to enforce without the cooperation of local police, but it provides the necessary legal justification for a court-ordered seizure.
The document should also state that the supplier waives any right to a lien over the tools, even in the case of a payment dispute. This is a critical point because under the PRC Civil Code, a worker or a factory may normally have the right to keep property until they are paid. By explicitly waiving this right, the buyer ensures that the tools cannot be held hostage.
The agreement also sets the standards for the storage and repair of the equipment, ensuring it remains in good working condition. If a mold is damaged due to negligence, the factory is responsible for the cost of replacement. This financial liability encourages the supplier to treat the buyer’s assets with care.
Recovery Procedure
Exit protocols for the transfer of equipment must be clearly defined to avoid delays and legal hurdles at the end of a contract. The tooling bailment agreement specifies the exact steps for the decommissioning and shipping of the tools back to the owner or to a new supplier. This includes a final inspection to verify the condition of the molds and a requirement for the factory to provide all technical drawings and maintenance logs.
The operational limit of this agreement is reached if the factory goes bankrupt and the tools are seized by other creditors. In such a case, the buyer must use the agreement to prove to the liquidator that the equipment does not belong to the factory’s estate. This makes the registration of the bailment and the use of the ownership tags even more important.
Foreign investors should also ensure that the agreement is written in Chinese and governed by Chinese law to allow for rapid enforcement in a local court. The finality of the relationship is only achieved when the tools are physically delivered to a location chosen by the buyer. This framework provides the security needed to invest in high-value manufacturing equipment for offshore production.
