Legal retention right allows a Chinese manufacturer to refuse to return custom molds or tooling to a buyer until all outstanding production and development invoices are fully paid. A supplier asserts a possessory tooling lien under the civil code of China when a payment dispute arises during or after a production run. This statutory right stops applying once the buyer pays the disputed amount or provides a sufficient financial guarantee to the court.
Statutory Origin
The civil code allows a service provider to hold a client’s property that is already in the provider’s lawful possession if the client fails to perform their contractual obligations. This means that a possessory tooling lien arises automatically by operation of law rather than through explicit contract terms. Consequently, a factory can legally lock the molds in their warehouse even if the original agreement states that the buyer owns the physical tooling.
Practical Risk
Foreign buyers often lose control of their supply chains when their injection molds or stamping dies are held hostage during a commercial disagreement. When a factory exercises a possessory tooling lien, they can halt the buyer’s entire production schedule by preventing the transfer of the tooling to a competitor. This leverage is frequently used by suppliers to force the acceptance of price increases or to recover unpaid research and development costs.
Preventative Measure
Contractual waivers can limit the statutory right of retention if they are explicitly drafted into the manufacturing agreement and signed by both parties. To prevent a possessory tooling lien, the contract must state that the supplier waives all rights to retain the tooling under any circumstances and must return the molds immediately upon demand. This clause must be written in Chinese and coupled with a high daily penalty for non-compliance to be effective.
Additionally, foreign buyers should maintain detailed payment receipts and transaction records to prove that no outstanding debts exist, which allows them to request an expedited court order for the return of the property if a dispute occurs.
