Contractual arrangements define the legal relationship where one party holds physical possession of equipment owned by another for the purpose of manufacturing. A tooling bailment covenant specifies that the factory is a mere custodian of the moulds and dies provided by the buyer and acquires no ownership interest in them. This provision prevents the supplier from using the equipment to produce goods for other customers or from claiming the assets as their own during a bankruptcy proceeding.
It is a fundamental element of a manufacturing agreement that separates the right of possession from the right of title.
Ownership Title
Ownership must be explicitly stated in the primary agreement to avoid confusion during an audit. The language of a tooling bailment covenant ensures that the buyer remains the sole owner of the assets at all times.
Factory Responsibility
Factories assume the responsibility for the safe storage and routine cleaning of the equipment while it is on their premises. Under a tooling bailment covenant the supplier must maintain a log of the number of cycles performed by each mould to track wear and tear. It is prohibited from making modifications to the tools without written consent from the owner.
If a tool is damaged through negligence, the factory is liable for the cost of repair or replacement. This obligation ensures that the assets remain in good working order for the entire duration of the production lifecycle.
Termination Right
Every agreement establishes an absolute right for the owner to demand the return of the equipment at any time. This clause often includes a waiver of any lien rights the factory might otherwise claim for unpaid invoices. It ensures that the buyer can move their production to a different facility without the equipment being held as collateral in a commercial dispute.
