Legal avenues available to an aggrieved party when a counterparty fails to perform obligations under a binding agreement. The Civil Code of the People’s Republic of China provides for several forms of contractual remedies including specific performance, remedial measures, or compensation for losses. Parties often negotiate these terms beforehand to establish clear expectations for liquidated damages.
Agreed terms allow for the restoration of the economic position the non breaching party would have held.
Damage Assessment
Financial compensation is often calculated based on the actual loss suffered plus the expected benefits that would have been realized. Under Chinese law, contractual remedies are limited by the principle of foreseeability which prevents claims for losses that the breaching party could not have anticipated. The duty to mitigate also requires the injured party to take reasonable steps to prevent the loss from expanding.
Expenses incurred during mitigation efforts are typically recoverable as part of the total claim.
Performance Order
Specific performance is a primary remedy where the court commands the breaching party to fulfill their original obligations. This mechanism is common in cases involving unique goods or real estate where monetary payment is insufficient. However, if performance is legally or practically impossible, or if the costs are excessively high, contractual remedies shift toward financial settlement.
The court balances the rights of the claimant against the physical and economic reality of the situation.
Termination Power
Rescission allows a party to end the agreement if a fundamental breach occurs. Notice must be served to the other side to make the termination effective.
