Obligation Rule
Holder claims against guarantors can be initiated immediately upon the dishonor of the commercial paper by the primary acceptor. The joint liability endorser must pay the full face value of the instrument plus any accrued interest or penalties. This statutory obligation cannot be bypassed by internal agreements between the endorser and the drawer, as the holder retains a direct right of recourse against any party who has signed the document.
Judicial Recourse
Litigation involving commercial paper allows holders to sue all endorsers simultaneously to maximize the recovery rate. Chinese courts recognize the joint liability endorser as a primary target for enforcement actions, meaning that assets can be frozen or seized before a full trial on the underlying commercial dispute completes. This rapid enforcement mechanism provides strong protection to holders of validly endorsed negotiable paper.
Strategic Defense
Guarantors often seek to identify procedural defects to escape their financial obligations. If the holder fails to present the instrument for payment within the statutory ten-day period, the joint liability endorser may be released from liability. This specific defense forces holders to maintain strict administrative discipline when managing outstanding trade drafts.
