It covers everything from industrial raw materials to finished products awaiting shipment. The law requires the depository to issue a storage voucher or receipt that serves as evidence of the bailment. This document is often essential for the owner to prove their rights in a dispute.
If the contract does not specify a storage period, the owner can typically reclaim the goods at any time. The depository must maintain the items in a state that prevents decay or damage.
Contractual Obligation
The depository is bound by the terms of the agreement to provide a secure environment and proper maintenance for the stored items. Under a baoguan hetong, the party holding the goods cannot use the items for their own benefit without explicit permission from the owner. This restriction is a fundamental protection for the owner’s property rights.
If the depository allows a third party to use or take the goods, they are liable for any resulting losses. The contract usually specifies the technical requirements for storage, such as temperature, humidity, or specialized shelving. Failure to meet these requirements constitutes a breach of the contractual duty.
The depository must also notify the owner if the goods are at risk of damage from external factors or inherent vice. This communication allows the owner to take preventive action or authorize a change in the storage method.
Storage Condition
Maintaining the integrity of the assets requires the depository to implement specific physical and administrative controls. The baoguan hetong often includes an annex detailing the expected state of the facility and the frequency of inspections. These conditions are checked by the owner or an auditor to ensure compliance with the quality standards of the industry.
For high-value electronics or chemical components, the storage environment is as important as the security of the building. The depository must keep accurate records of the entry and exit of all items to prevent inventory shrinkage. Any unauthorized access to the storage area is considered a failure of the custodial duty.
If the depository discovers that the goods are leaking or becoming hazardous, they must take immediate steps to contain the risk. This proactive management is a requirement of the legal standard for professional custodians in China.
Compensation Liability
Financial responsibility for lost or damaged goods is determined by the level of fault attributed to the depository. A baoguan hetong typically stipulates that if the depository is compensated for their services, they are liable for damages unless they can prove they were not negligent. In cases where the storage is provided for free, the liability only applies if the depository acted with gross negligence or intentional misconduct.
The amount of compensation is usually based on the value of the goods at the time the damage is discovered. If the owner failed to disclose the special nature of the goods, such as their fragility or hazardous properties, the depository’s liability may be reduced. This balance of responsibility encourages full disclosure between the parties at the start of the relationship.
The contract often includes a limitation of liability clause to cap the depository’s exposure. Such clauses are generally enforceable provided they do not violate mandatory provisions of the law.
