Territorial Execution
The use of these seals is legally limited to the physical boundaries of the specific construction or engineering project. A project department is not an independent legal entity but a temporary administrative division of the parent company. Under Chinese corporate law, the parent company is not bound by contracts stamped with this seal if they fall outside the project’s scope.
This prevents local project managers from executing unauthorized financial or real estate transactions.
Procurement Boundary
This limitation means that supplier contracts for high-value machinery or raw materials must be escalated to corporate headquarters for the official corporate seal. Local stamps are only valid for minor site transactions.
Apparent Reliance
A counterparty attempting to enforce a contract sealed with a project stamp must demonstrate that the parent company ratified the behavior. This is extremely difficult to prove in court, as the burden of diligence sits squarely on the supplier.
