Meaning
Contractual failures occur when a vendor does not deliver goods or services according to the agreed schedule, quality, or volume. A supplier breach disrupts the manufacturing supply chain and can trigger penalty clauses or contract termination.
Contractual Remedy
Supply contracts typically outline specific legal actions and financial compensations available to the buyer in the event of non-performance. When a supplier breach occurs, the buyer may withhold outstanding payments or claim liquidated damages. The contract should clearly define the cure period during which the vendor must resolve the issue.
If the vendor fails to cure, the buyer can legally dissolve the agreement.
Operational Consequence
Production halts and missed shipment deadlines are the most severe immediate effects of a failure in the vendor network. Once a supplier breach occurs, procurement officers must quickly locate alternative sources of raw materials or components to keep the factory running. This emergency sourcing often incurs high shipping premiums and increased unit costs.
The delay can also damage the buyer’s reputation with its own downstream customers. To mitigate this, many factories maintain safety stock of primary parts. However, storing excess inventory increases working capital requirements and reduces overall efficiency.
Balance is therefore hard to maintain without reliable vendor performance.
Dispute Resolution
Legal proceedings in China often prioritize mediation over litigation to resolve commercial disagreements between supply chain partners. If a supplier breach remains unresolved, the parties may turn to the China International Economic and Trade Arbitration Commission. This tribunal specializes in resolving cross-border contract disputes efficiently.
The outcome of arbitration is binding and enforceable under domestic law.
