A regulatory circular issued by China’s central tax authority to streamline and govern the withholding of corporate income tax for non-resident enterprises. This administrative instrument clarifies the rules for tax registration, the timing of withholding obligations, and the calculation of taxable capital gains. Through these provisions, the regulatory circular known as State Taxation Administration Bulletin 37 establishes a unified nationwide procedure for tax authorities and withholding agents.
Withholding Event
The administrative circular stipulates that the obligation to withhold tax arises at the moment the payment is made or becomes due, rather than when the contract is signed. The domestic withholding agent must remit the collected tax to the local tax bureau within seven days of the withholding event. If the contract involves installment payments, the withholding tax must be calculated and remitted proportionally for each installment.
Calculation Method
The directive provides a detailed formula for calculating taxable capital gains realized by non-resident enterprises from the sale of Chinese equity. Taxable income is defined as the total transfer income minus the net value of the equity, which represents the initial investment cost. If the foreign seller cannot provide sufficient proof of the original acquisition cost, the tax bureau has the authority to estimate the net value based on the financial records of the target company.
Noncompliance Consequence
When the withholding agent fails to deduct the tax, the non-resident enterprise is required to declare and pay the tax to the tax bureau within the statutory period. The tax authority can impose late payment surcharges on the foreign taxpayer and pursue administrative penalties against the negligent agent.
