Meaning
Regulatory requirement mandates that the impression of every official chop be recorded in a centralized police registry to facilitate verification by banks and government offices. Public security seal registration is the process that gives a physical stamp its legal status as the official representative of a company. Without this registration, a seal is merely a piece of carved material with no power to create binding obligations.
The registration process involves a physical scan of the seal and the collection of data regarding the company’s legal representative. This information is stored in a national database that can be accessed by authorized institutions to verify the authenticity of documents. The requirement stops a company from using multiple “official” seals for the same purpose, which would create confusion and opportunities for fraud.
It is the administrative foundation of the entire system of corporate chops in China.
Recording Mechanism
Entry of the seal into the official database requires a visit to a licensed carving shop that is connected to the public security bureau’s network. When the seal is carved, the shop automatically uploads a high resolution image of the impression and the company’s registration details to the police. The public security seal registration system then generates a unique serial number that is often visible at the bottom of the seal impression.
This number allows anyone with access to the database to quickly check if the seal is genuine and currently active. The registration must be updated whenever the company changes its name or its legal representative. This ensure that the registry always reflects the current legal reality of the entity.
Verification Access
Availability of this data to third parties is what makes the system effective in preventing forgery. Banks are the most frequent users of the registration database, checking every significant document against the recorded impression. If the seal on a loan agreement or a check does not match the public security seal registration record, the transaction is immediately flagged.
Government departments also use the registry to verify the identity of companies applying for licenses or participating in public tenders. This shared access creates a high barrier for forgers, as they would need to not only replicate the physical seal but also compromise the secure database. Private parties can also request a verification of a seal’s status through their legal counsel or a forensic appraisal center.
Regulatory Limit
Application of the registration rules is limited to those seals that carry the authority to bind the legal entity. Internal stamps used for mail, warehouse receipts, or department memos do not require public security seal registration and do not have the same legal weight. The rules also define the specific types of materials and fonts that are acceptable for registered seals.
If a company attempts to register a seal that does not meet these technical standards, the application will be rejected. This standardization ensures that all official seals have a similar appearance, making it easier for the public to recognize them. The final responsibility for maintaining the registration lies with the company’s management, who must ensure that old seals are cancelled when they are replaced.
A failure to cancel an old registration can lead to significant liability if that seal is later used for fraud. Public security seal registration remains the most important administrative control for managing corporate identity. It provides the certainty that businesses need to operate in a complex and fast moving market.
