Agreements between suppliers and subcontractors often include provisions that establish joint civil liability for defects in the final product. The party that pays the full amount then holds a right of recourse against the other liable parties to recover their proportionate share.

Statutory Basis
Specific laws, such as the Product Quality Law and Environmental Protection Law, impose joint civil liability on certain actors in the production chain. Both the producer and the seller are liable for damages caused by a defective product. In the context of environmental damage, multiple polluters whose actions combined to cause the harm are often held jointly responsible.
This ensures that the victims are compensated even if one of the responsible parties is insolvent.
Corporate Governance
Shareholders and directors may face joint civil liability if they fail to complete the liquidation process according to the Company Law. If the assets of a dissolved company are dissipated due to the inaction of the liquidation committee, the members of that committee are personally responsible for the debts of the company. Similarly, if a parent company exerts excessive control that leads to the insolvency of a subsidiary, courts may pierce the corporate veil.
