Meaning
Local entities designated to act on behalf of a foreign parent company oversee the administration of equity incentive plans for employees residing in China. The domestic agent is typically the Chinese subsidiary or a specific branch office that employs the participants. Regulatory frameworks require this appointment to ensure there is a clear point of contact for tax and foreign exchange authorities.
Legal Responsibility
Liability for the accurate reporting of participant data and the withholding of individual income tax rests with the chosen entity. The domestic agent must ensure that the equity plan adheres to the circulars issued by the State Taxation Administration. If the tax is not correctly calculated or remitted, the local agent faces penalties and interest charges as the primary party responsible for compliance.
This obligation remains even if the stock is issued by an entity outside the Chinese borders.
Financial Agency
Coordination of fund transfers through specialized bank accounts falls under the remit of this office. The domestic agent manages the conversion of local currency for employees who need to pay exercise prices to the foreign parent. It also receives the proceeds from share sales and distributes them to the individual participants after deducting the necessary taxes and fees.
All these movements must be supported by the records held by the agent. Internal ledgers must reconcile the individual share allocations with the total foreign currency remitted through the banking system.
Regulatory Liaison
Communication with the State Administration of Foreign Exchange is the most critical duty of the representative body. The domestic agent files the initial registration of the plan and provides the periodic updates required to maintain the validity of the foreign exchange quota. Changes to the plan, such as extensions of the exercise period or changes in the number of participants, must be reported by the agent within specified timeframes.
This ensures the government maintains an accurate view of potential capital outflows.
