Enforcement Reality
Tax authorities in China operate independently of private contractual agreements between buyer and seller. Local tax bureaus do not recognise private tax holdback accounts as formal tax payments or statutory security. Tax officers issue assessments directly against the tax withholding agent or tax debtor regardless of escrow conditions.
When tax disputes arise, release of escrow funds remains contingent upon formal settlement with Chinese revenue authorities, meaning funds may remain blocked for extended periods during tax administrative reviews.
