Statutory rights of retention allow service providers and manufacturers to withhold cargo or finished goods until outstanding debts are fully satisfied. Under the Civil Code of the People’s Republic of China, a commercial lien can be asserted by a factory or a logistics operator against goods in their possession if the contracting party fails to pay for the services rendered. This possessory interest gives the holder a preferred claim over other creditors and the right to liquidate the assets if the default remains unresolved.
Statutory Right
Legal frameworks require a direct connection between the unpaid debt and the specific property held by the claimant. Asserting a commercial lien requires the factory or freight forwarder to have obtained possession of the goods through a lawful, valid contract. In China, this right does not extend to unrelated properties unless the transactions occur between registered enterprises engaged in ongoing commercial activities.
Enforcement Process
Sellers must wait for a statutory notification period to expire before they can legally dispose of the retained assets. To enforce a commercial lien, the holder must provide the debtor with a reasonable grace period, typically not less than sixty days, to settle the outstanding invoice. If the debtor fails to pay within this period, the holder may apply to a Chinese court to auction the goods or negotiate a direct acquisition value to offset the debt.
Asset Possession
Physical custody of the disputed items must be maintained continuously to preserve the validity of the security interest. If the holder of the commercial lien voluntarily surrenders the cargo to the buyer or a third-party carrier, the protective right is immediately extinguished under Chinese law. This operational constraint forces Chinese suppliers to hold shipments at the warehouse or port whenever payment disputes arise, even if doing so incurs additional storage fees and demurrage charges.
Foreign procurement officers must therefore resolve payment bottlenecks before goods leave the factory floor, as custody transfer cannot be reversed once the manufacturer relinquishes the bills of lading.
