Meaning
Corporate restructuring processes allow a business established with total foreign capital to transition into a joint venture or domestic company. This wfoe entity conversion is often used when a foreign investor seeks to bring in a local partner or when the company is being sold to a Chinese buyer. It requires a complete update of the government registrations to reflect the new ownership structure and governance rules.
Structural Change
The process begins with an amendment to the articles of association and the approval of the board of directors. During a wfoe entity conversion, the company must address the redistribution of equity and the appointment of new directors from the domestic partner. This stage often involves a valuation of the existing assets to ensure the entry of the new shareholder is recorded at fair market value.
Registration Shift
Filing requirements involve the State Administration for Market Regulation and the Ministry of Commerce through the integrated foreign investment management system. A wfoe entity conversion necessitates a new business license that identifies the company as a Sino foreign joint venture or a domestic enterprise. The entity keeps its original credit code and tax identification number to ensure continuity in its commercial contracts and bank accounts.
This administrative continuity allows the business to maintain its existing permits for environmental protection and specialized manufacturing without starting a new application process from the beginning.
Liability Succession
The converted entity remains responsible for all debts and legal obligations incurred before the change in ownership. Tax liabilities do not vanish during a wfoe entity conversion and the tax bureau may conduct a clearance audit if the restructuring involves a material change in the business scope. Employees retain their seniority and the existing labor contracts remain valid unless they are explicitly renegotiated as part of the transition.
