The contract covers all technical drawings and bill of materials alongside marketing strategies shared during the development phase. Provisions in a tri-party NNN agreement define what constitutes a trade secret and set the duration for which the information must remain private.
Enforcement Link
Having all three parties sign the same document creates a clear chain of liability that is easier to manage in a local court because it establishes direct privity between the originator of the design and the entity that performs the work. Liability Allocation
Each participant is held responsible for the actions of their employees and any sub-contractors they engage. This prevents a party from avoiding consequences by claiming that a breach was committed by an individual worker or a third-party logistics provider.
