An administrative procedure required for foreign enterprises that perform engineering, design, or consultancy services on a temporary basis within the Chinese territory without establishing a permanent subsidiary. This registration is mandatory for foreign contractors involved in construction, assembly, or exploration projects that exceed a specified duration under local tax laws. Completing the project office registration allows the foreign entity to establish a bank account, hire local employees, and execute transactions legally.
Filing Process
Foreign companies must apply for registration with the local Administration for Market Regulation within thirty days of signing the service contract. The application must include the notarized corporate documents of the parent company, the signed contract with the Chinese client, and the appointment letter of the project representative. After receiving the business license, the entity must register with the tax bureau to establish its taxpaying status.
Taxation Duty
The registered office is treated as a permanent establishment for tax purposes and is subject to Chinese corporate income tax and value-added tax on its allocated project revenue. If the actual profits cannot be accurately determined from the accounting records, the tax bureau will assess tax based on a deemed profit rate, which often ranges from fifteen to forty percent. This deemed profit calculation emphasizes the importance of maintaining detailed financial accounts for the duration of the project.
Office Closure
Once the project is completed, the foreign enterprise must complete a formal de-registration procedure to close the office. This process requires a tax audit to ensure that all tax liabilities have been settled before the local bank account can be liquidated and the remaining funds repatriated.
