Provision in the Civil Code of the People’s Republic of China that allocates risks for failure in technology research and development projects. Prc civil code article 860 applies when a research effort cannot reach its goal due to technical difficulties that are impossible to overcome given the current state of technology. It provides a default rule for when the parties have not specified a risk-sharing mechanism in their contract.
The provision stops applying if the failure is caused by a lack of effort or professional negligence by the researcher.
Risk Allocation
Sharing the financial burden of an unsuccessful project prevents unfair losses for developers and encourages innovation. The default position under prc civil code article 860 is that the risk of technical failure is shared reasonably between the parties. This prevents the entire financial loss from falling on the party performing the research when the obstacle was genuinely unforeseeable.
If the parties fail to reach a consensus on what is reasonable, courts look at the investment made by each side and the potential benefits they would have received.
Duty Notification
Researchers are required to warn their partners about potential technical obstacles that could stop the project. A party that discovers a difficulty has a specific obligation under prc civil code article 860. They must notify the other party in a timely manner to minimize the waste of resources and the accumulation of further losses.
Failure to provide this notice makes the performing party liable for the additional damages that could have been avoided by an earlier stop.
Termination Right
Settlement processes trigger the distribution of remaining materials and data when a project ends prematurely. When a project is deemed a failure under prc civil code article 860, either party has the right to dissolve the contract. This dissolution allows for a clean exit from a non-viable technical path so that capital and talent can be redirected to more promising ventures.
