Meaning
Investment of non-monetary assets into the registered capital of a newly formed or expanding enterprise allows shareholders to provide equity funding without utilizing cash reserves. A non cash capital contribution can consist of intellectual property, land use rights, equipment or equity holdings in another corporate entity. This method allows technology partners or land owners to obtain equity stakes in exchange for their productive resources.
It must be permitted by the company’s articles of association and must comply with specific statutory limits. The contributed assets must also be capable of being evaluated in monetary terms and transferred to the company according to law.
Valuation Duty
Mandatory valuations of the contributed assets must be performed by an independent, licensed appraisal institution to verify that the value matches the allocated equity. The resulting valuation report is a critical requirement for both corporate registration and tax filings. Under Chinese corporate law, the contributed asset must be legally transferable and free of any prior encumbrances or security interests.
Equity Registration
Administrative filings with the local registration authority require the submission of the transfer documents and the asset valuation report before the paid-in capital is officially updated. This process ensures that the legal title to the asset has been fully transferred from the shareholder to the company. The company then issues an updated capital contribution certificate and amends its shareholder register.
Default Liability
Inadequate valuation of the contributed asset creates joint and several liability for all founding shareholders to make up the shortfall. If the actual value of the asset is found to be below the declared value, the contributing shareholder must pay the difference in cash. This statutory protection prevents the dilution of other shareholders’ interests and maintains the capital integrity of the corporation.
