Registration does not constitute a state endorsement of the underlying contract, nor does it guarantee the accuracy of the collateral description provided by the parties.
Registration Procedure
Submission of a registration requires a unified credit code for the debtor and a description of the collateral that satisfies the statutory requirements for identification. Parties upload these details through the online portal maintained by the Credit Reference Center, which assigns a timestamp and a unique registration number to the filing. This digital record serves as the official evidence for determining priority in insolvency proceedings or enforcement actions against a defaulting borrower.
Foreign entities must obtain a legal identifier recognized within the national system to act as a secured party or debtor. Accuracy rests entirely with the filer, as the system does not audit the validity of the underlying security agreement during the submission process.
Statutory Hierarchy
Priority status follows the order of registration in the event that multiple creditors hold claims against the same item of collateral. Statutes establish that a perfected interest takes precedence over unperfected interests, with the exception of specific purchase money security interests that meet strict temporal and notice requirements. Enforcement involves a court order or an agreement between parties that triggers the right to seize or liquidate the collateral to satisfy the debt.
A creditor possesses a right to the proceeds of the collateral even if the original asset transfers to a different owner, provided the initial filing remains active and the security interest continues to exist.
Enforcement Limit
Liability remains confined to the scope of the collateral described in the filing, meaning a creditor cannot reach assets outside the registered perimeter through this specific mechanism. Registry entries expire after a duration defined by the user during the initial filing unless the party submits a renewal before the termination date. Cancellations occur when the debtor fulfills the obligation or the creditor releases the claim, ensuring the record accurately reflects the current status of the asset.
Courts acknowledge the registry as the primary source for establishing the timeline of competing interests, yet they retain the authority to determine the validity of the security contract itself during a formal dispute.
