Regulatory Filing
Importers must submit the technology transfer agreement along with proof of corporate identity to the local branch of the Ministry of Commerce. The technology must not fall under the restricted or prohibited categories listed in the national export and import catalogues.
Contract Validity
Government authorities issue a technology import license or registration certificate once the filing is complete. While freely importable technology contracts generally take effect upon their execution, the registration certificate is necessary to facilitate foreign exchange payments. Chinese commercial banks require this certificate before they can process the outward remittance of royalty or service fee payments to the foreign licensor.
The registration also serves as official proof of compliance during tax audits and customs inspections.
Operational Compliance
Failure to complete the registration prevents the foreign party from legally receiving payments from the Chinese licensee. Multinational companies must therefore ensure that all technology licensing contracts contain explicit clauses addressing the registration obligations of the Chinese importer.
