Statutory hierarchies established by Chinese company law and administrative regulations govern how the remaining assets of a dissolved enterprise are distributed to creditors, employees, and shareholders. The liquidation proceeds distribution occurs only after all outstanding corporate taxes, employee wages, mandatory social insurance contributions, and general unsecured debts are fully settled. This process governs the transfer of the residual monetary value of the liquidated company to its equity holders.
It does not apply to assets that are secured by mortgages, pledges, or other prior registered liens.
Payment Sequence
The liquidation committee must strictly follow the priority order set by the court or the regulations. When the liquidation proceeds distribution is executed, any premature payments to shareholders before settling creditor claims are legally void. Directors can be held personally liable for violating this payment sequence.
Remittance Authorization
For foreign-invested enterprises, the commercial bank acts as the gatekeeper for remitting the final distribution offshore. The liquidation proceeds distribution requires a detailed tax clearance certificate and the approved liquidation report before SAFE authorizes the foreign currency transfer. This ensures that no untaxed capital leaves the country.
Shareholder Dispute

This resolution is enforced by local courts if mediation fails.
