Meaning
A statutory provision in Chinese corporate governance designates which executive officers may legally bind the corporation in transactions and administrative filings. Under company law article 12, the legal representative is selected from either the manager or a director who executes corporate affairs on behalf of the company. The designated representative acts as the primary signatory for contractual agreements and represents the company in judicial proceedings and regulatory filings.
If the legal representative resigns, a successor must be appointed within thirty days to avoid operational disruption or administrative penalties.
Representative Authority
Registration authorities record the name of the appointed executive officer to provide public notice of who holds the primary power of attorney. The statutory definition under company law article 12 ensures that third parties can rely on the signature and seal of the registered legal representative without further investigation of internal board resolutions. Should an unauthorized transaction occur, the company remains bound by the representative’s actions unless the counterparty acted in bad faith or had prior knowledge of the internal limitation.
Operational Risk
Foreign-invested enterprises face distinct administrative challenges when designating a local general manager as the statutory representative rather than a board member. Under company law article 12, the power vested in this single individual enables them to secure corporate chops and licenses, which can complicate attempts by shareholders to regain operational control during a dispute. Internal controls must limit the physical custody of the company chop and business license to prevent unauthorized filings or asset transfers.
Shareholders often restrict the unilateral authority of the designated representative through specific clauses in the articles of association, though these internal limits do not bind innocent third parties.
Statutory Liability
Personal liability attaches to the registered individual for corporate non-compliance, tax default, or failure to execute court judgments. Implementing company law article 12 ensures that regulatory bureaus can place exit bans or credit restrictions on the legal representative when the corporation violates administrative rules. Directors and managers who assume this role must monitor compliance with local regulations to protect themselves from personal administrative sanctions.
Fines levied against the corporation do not automatically transfer to the individual, but deliberate neglect can trigger personal judicial prosecution.
