Meaning
A judicial guideline issued by the Supreme People Court of China regulates the validity and enforcement of third-party security commitments. The application of the civil code guarantee interpretation clarifies how courts must evaluate corporate resolutions when a subsidiary provides a guarantee for its parent company. This document limits the discretionary power of lower courts and establishes uniform standards for commercial lending transactions.
It applies exclusively to disputes arising under the guarantee provisions of the civil code.
Corporate Authorization
The validity of a corporate guarantee depends on the existence of a valid board or shareholder resolution. Under the civil code guarantee interpretation, a creditor must verify that the guarantor company has complied with its internal articles of association. If the creditor fails to review these documents, the guarantee agreement may be declared void for lack of authority.
Creditor Duty
Lenders are required to exercise reasonable diligence when accepting corporate guarantees from Chinese counterparties. This duty under the civil code guarantee interpretation means the lender must confirm that the signatory has the authority to bind the company. A failure to execute this diligence prevents the lender from claiming good-faith status in court.
Enforcement Process
When a guarantor defaults, the creditor must initiate legal action within the statutory limitation period to preserve their rights. The civil code guarantee interpretation mandates that the action against the guarantor must be brought within six months from the maturity of the primary debt. If the creditor delays, the guarantor is discharged from their obligation by operation of law.
This rule forces financial institutions to monitor debt maturity dates closely and act quickly to secure their collateral.
