Asset Classification
Regulatory lists define which types of property fall under the jurisdiction of the national tax law. For the purpose of identifying Chinese taxable assets, the law looks at the location of the immovable property and the place where the issuing company is registered. This includes assets held by a representative office or a permanent establishment within the country.
Jurisdictional Reach
Taxing rights extend to offshore transfers that result in the indirect movement of these local interests. When a foreign firm sells shares in a holding company, the presence of Chinese taxable assets within that company allows the local authorities to recharacterize the deal. The gain is then taxed as if it were a direct sale of the underlying Chinese interest.
Regulatory Scope
Valuation of the offshore company must be broken down to show the portion derived from local sources. This proportion must be confirmed through audits to ensure that the value of the Chinese taxable assets is correctly represented. Final liability depends on the net profit realized from the Chinese portion of the global deal.
