Meaning
Administrative foreign exchange mechanisms in China permit foreign-invested enterprises to convert their foreign currency capital into renminbi prior to the actual utilization of the funds. The policy of willingness based settlement offers corporate treasurers the flexibility to convert capital account balances based on market exchange rates rather than waiting for specific payment invoices. This mechanism is governed by the State Administration of Foreign Exchange, allowing companies to hold converted renminbi in designated deposit accounts until operating expenses arise.
Capital Conversion
Conversion flexibility allows corporate treasurers to mitigate foreign exchange risks by choosing the timing of their currency exchanges. Under the rules of willingness based settlement, companies execute the conversion of registered foreign capital during favorable market movements. This process replaces the older payment-based conversion system that forced immediate transaction matching.
Account Management
Pending currency balances must reside in a dedicated pending payment account to ensure transparent tracing of the fund flow. Although willingness based settlement provides conversion freedom, the resulting renminbi balances remain under close bank monitoring. Companies transfer funds out of these pending payment accounts only after submitting the required commercial contracts or payroll records.
Regulatory Control
Misuse of converted capital for unauthorized stock market investments or real estate acquisitions violates central bank guidelines. Regulatory authorities conduct spot audits of pending payment accounts to verify that converted funds from willingness based settlement are utilized solely for legitimate domestic operational purposes. Violating firms face a revocation of their conversion privileges and must return the accounts to payment-based processing.
