Corporate dissolution processes in China represent the formal winding up of a company under government or judicial supervision when shareholders cannot agree. In regulatory practice, third party liquidation occurs when the local people’s court or the market supervision administration appoints an independent committee to manage the dissolution of a deadlock joint venture. This process is initiated under the Company Law to protect creditors and ensure the fair division of remaining assets.
This mechanism takes control away from the original management to prevent asset stripping.
Administrative Appointment
Insolvency practitioners, lawyers and accountants are selected by the court to form the liquidating committee. This body assumes full legal representation of the company and holds the corporate chops required to execute transactions. When a third party liquidation is ordered, the existing board of directors must hand over all accounting records and business licenses.
This handover ensures that the process is impartial and complies with municipal regulations.
Asset Realization
Valuation of the company’s property is conducted by appointed auditing firms to establish the liquidation value. The committee then auctions the machinery, inventory and real estate to raise funds for outstanding liabilities. Under the statutory order of distribution, tax debts and employee wages must be settled before any capital can be returned to investors.
This process protects the local workforce and secures outstanding state revenue.
Foreign Remittance
Winding up a foreign-invested enterprise requires clearance from the tax authority and the State Administration of Foreign Exchange. The committee must submit a final liquidation report to obtain the necessary tax clearance certificate. Once taxes are paid, the bank can convert the remaining RMB into foreign currency for repatriation.
This final transaction completes the dissolution of the corporate entity.
