Meaning
Administrative procedures govern the movement of technical knowledge and intellectual property from within the borders of the People’s Republic of China to foreign entities. A technology transfer exit clearance is required for any transfer that falls under the restricted category of the national export catalog. This system ensures that sensitive technologies related to national security or economic interests do not leave the country without oversight.
The process applies regardless of whether the transfer occurs through a physical shipment or an electronic transmission.
Catalog Classification
Technical specifications determine which items must undergo a formal review before they can be shared with foreign parties. For the purposes of technology transfer exit clearance, technologies are divided into those that are prohibited from export or restricted. If a technology is prohibited, no clearance will be granted under any circumstances.
Restricted technologies require a specific license from the Ministry of Commerce and the Ministry of Science and Technology.
Filing Requirement
Documentation must be submitted to the provincial commerce department to begin the approval process. The application for a technology transfer exit clearance includes the text of the contract and technical parameters. Authorities evaluate the risk of the technology being used for purposes other than those stated in the application.
For technologies that are free to be exported, a post-facto filing for recordal is still mandatory to ensure statistical tracking and regulatory compliance.
Operational Stop
Failure to obtain the necessary approvals results in the suspension of the transaction and the potential for criminal liability. Without a technology transfer exit clearance, the bank cannot process the foreign exchange payments associated with the license fee. The customs authorities may also block the shipment of any physical components or data storage devices related to the transfer.
This creates a hard barrier for companies that ignore the compliance requirements. Penalties for unauthorized transfers include fines that are multiples of the transaction value and the revocation of the company’s export rights.
