Royalty Structure

Registration Requirement
Registration with the Ministry of Commerce of China is required for cross-border technology import contracts to be legally effective. Without this registration, the licensee cannot convert local currency into foreign exchange or remit royalty payments to the foreign parent company.
Tax Deduction
Tax authorities will audit these agreements to ensure that the royalty rate matches the arm’s length principle. Unregistered agreements or those with inflated royalty rates will face disallowance of tax deductions.
