If the vendor goes bankrupt, stops supporting the product, or fails to meet specific service levels, the third party agent releases the code to the buyer.

The vendor agrees to upload the latest version of the source code, including all necessary build instructions and documentation, to the agent’s secure environment.
The agent then performs a verification check to ensure that the code is complete and can actually be compiled into a working application. This is a critical step because if the code is faulty, the escrow is useless. The buyer pays a recurring fee to maintain the account and to have the right to audit the contents.

Release Condition

The vendor is usually given a period to challenge the claim if they believe they are still in compliance with the main contract. Once the code is released, the buyer’s rights are usually limited to maintenance and internal use. They cannot sell the code or use it to compete with the original vendor. This balance of interests ensures that both parties are protected.
