In Chinese court proceedings, these contract clauses are generally upheld as liquidated damages if the agreed penalty is reasonable. To mitigate this exposure, buyers must negotiate flexible windows where the reserved volume can be adjusted or rolled over to future quarters without immediate financial penalty.

Securing priority access to critical raw materials protects the buyer from price spikes and supply shortages during peak seasons. The contract ensures that the supplier cannot divert the reserved capacity to higher-bidding competitors. The guaranteed access allows the manufacturer to plan their production schedule with high confidence.
