Meaning
A formal legal assignment relocates the proprietary rights of computer program code from the original developer to a designated corporate entity. Software copyright transfer governs the complete relocation of economic exploitation rights, including the rights to modify and distribute the technical asset. It terminates the seller’s authority to use the underlying source code for subsequent commercial applications unless specific carve-outs are negotiated.
This legal instrument represents a permanent shift of intellectual property, requiring formal registration to establish enforceable claims against third parties.
Registration Requirement
The execution of an assignment agreement requires administrative filing with the National Copyright Administration of China. A completed software copyright transfer must be registered to provide public notice and secure priority over subsequent transfers or pledges. This filing process demands the submission of the transfer contract and the source code sample.
Without this registration, the transferee faces challenges when enforcing their rights against infringers or during commercial disputes.
Procedural Flow
The filing process begins with the submission of the application on the registration agency’s portal. This application must contain the first and last thirty pages of the source code, alongside the signed agreement. The registrar issues a certificate within thirty working days.
Withholding Liability
The financial implications of these transactions involve substantial capital shifts and associated fiscal duties. During a software copyright transfer, the payment is categorized as a royalty or an asset sale, triggering corporate income tax and value added tax. The domestic buyer acts as the withholding agent, deducting these taxes from the gross purchase price before remitting the remaining funds to the foreign seller.
Failing to compute these liabilities accurately can result in severe penalties from the State Taxation Administration.
