Meaning
Expedited administrative process allows eligible companies to cancel their business registration without undergoing the lengthy standard liquidation procedure. Utilizing simplified deregistration reduces the time and paperwork required for foreign and domestic businesses to exit the Chinese market. The mechanism is designed for companies that have not generated any debts or began business operations.
Eligibility Criteria
Specific business conditions must be met before an enterprise can apply for the streamlined administrative path. Simplified deregistration applies only to companies that have never incurred any debt, or have already settled all outstanding liabilities with employees and tax authorities. The market regulation bureau maintains a strict exclusion list for companies with active legal disputes or tax audits.
Public Announcement
Transparency requirements ensure that creditors have an opportunity to object to the dissolution of the company. Before completing the simplified deregistration, the applicant must publish a public announcement on the national enterprise credit information system for twenty days. This notice allows any third party with unresolved claims to file an official objection with the administrative authority.
If an objection is raised, the simplified process is terminated, and the company must use the standard liquidation path instead.
Execution Step
Submitting the final application to the market regulation bureau completes the corporate cancellation process. The bureau approves the simplified deregistration once the announcement period expires without any objections.
