Legal authorities held by judicial bodies within the People’s Republic of China determine which domestic courts have the power to hear civil and commercial disputes. This judicial competence, defined as PRC court jurisdiction, applies to all cases involving domestic entities, assets, or events occurring within the nation’s borders. It also extends to foreign parties when the disputed contract was signed, performed, or breached within the Chinese territory.
The boundary of this power is strictly confined to the mainland, excluding Hong Kong, Macau, and Taiwan.
Territorial Limit
The allocation of cases among different court levels is governed by the value of the claim and the complexity of the matter. Basic people’s courts handle the vast majority of first-instance civil disputes, while intermediate people’s courts manage cases involving significant foreign interests or high monetary thresholds. Territorial connections must be clearly demonstrated by the filing party, such as the defendant’s domicile or the location of the disputed real estate.
If no such connection exists, the court will refuse to register the case, forcing the plaintiff to seek remedies in another region.
Contractual Agreement
Foreign investors can negotiate jurisdiction clauses in their commercial agreements to specify which court will resolve future disputes. However, these clauses are only valid if they select a court that has an actual connection to the transaction, such as the place of business of one of the parties. If the agreement is silent, the default statutory rules will apply, often favoring the defendant’s home court.
This legal framework prevents parties from choosing arbitrary jurisdictions that have no relationship to the contract.
Enforcement Action
Securing a favorable court judgment is only the first step, as the execution of that judgment requires separate enforcement proceedings. The court with jurisdiction over the assets of the non-compliant party holds the power to freeze bank accounts, seize property, and restrict the personal movement of corporate representatives. This practical remedy ensures that the paper right is translated into a realized financial recovery.
