It applies to both domestic and international entities, although the requirements for foreign companies often involve additional steps like notarization and legalization in their home country. The application of the authentication begins when the document is drafted and ends when it is formally accepted and recorded by the Chinese agency or institution where it is to be used.
Verification Chain
Validation of an international power of attorney involves a multi-layered process that connects the legal systems of two different countries. For a document issued by a foreign company to be recognized in China, it must first be notarized by a local notary public in the country of origin. This step confirms that the signature on the document is genuine and that the person signing has the authority to represent the company.
Following notarization, the document is sent to the local ministry of foreign affairs or a similar body for an apostille or a certificate of authentication. Under the rules of power of attorney authentication, the final step for many years was the legalization by the Chinese embassy or consulate in that country. However, since China joined the Hague Convention Abolishing the Requirement of Legalisation for Foreign Public Documents, an apostille is now sufficient for documents from other member states.
This change has significantly simplified the process, but the document must still be translated into Chinese by a certified translation agency and often stamped with a local company chop once it arrives in China.
Domestic Application
Implementation of a power of attorney within China requires the document to be presented to the specific authority that governs the transaction, such as the State Administration for Market Regulation or a commercial bank. The receiving institution will check the document against the company’s official records and the identification of the person designated as the attorney-in-fact. In the context of power of attorney authentication, the document must clearly state the scope of the powers granted, the duration of the authority and any limitations on the attorney’s ability to delegate their power to others.
Banks are particularly strict about these requirements, often requiring a specific format for the power of attorney and a formal board resolution that authorizes the grant of power. If the document is found to be incomplete or if the stamps do not match the official records, the transaction will be blocked. This rigor is necessary to prevent fraud and to ensure that the company’s assets are only managed by authorized individuals.
The legal representative of the company bears the ultimate responsibility for the actions taken under a power of attorney, making the control of these documents a key part of corporate governance.
Audit and Expiry
Monitoring of the active powers of attorney is performed as part of the company’s internal audit and compliance program to ensure that no unauthorized authority remains in place. Every power of attorney should have a clear expiry date, after which it must be renewed or formally revoked. Power of attorney authentication records are maintained in a central registry within the company, often managed by the legal or human resources department.
When an employee leaves the company or when their job responsibilities change, any power of attorney they hold must be cancelled, and the relevant authorities and banks must be notified immediately. Failure to do so can leave the company vulnerable to unauthorized transactions or legal disputes. During a corporate audit, the auditors will verify that all active powers of attorney are supported by valid authentication documents and that they are being used within their intended scope.
