Statutory retention allows a creditor to maintain custody over movable property belonging to a debtor until all outstanding contractual obligations are settled. Under the Civil Code, a possessory lien liuzhiquan defense functions as a legal mechanism for a party to withhold delivery of goods when the debtor fails to make required payments for services rendered or maintenance performed. This right of retention arises automatically through operation of law upon the expiration of a payment deadline, provided the creditor obtained possession of the objects in the ordinary course of legitimate business operations.
It does not apply to items seized through illegal means or through a breach of contractual good faith.

Article four hundred forty-seven of the national civil code provides the jurisdictional basis for invoking this defensive measure. Creditors assert this claim during disputes over unpaid invoices to prevent the dissipation of assets that would otherwise secure the debt. A court evaluates the connection between the debt and the retained item to determine if the exercise of this power remains within permissible limits.
If a manufacturer keeps raw materials after failing to receive processing fees, the law recognizes the validity of that withholding provided the materials remain in the direct physical control of the service provider. Administrative tribunals verify that the creditor possesses a continuous chain of custody before validating the refusal to return the property to the owner.
Enforcement Protocol
Implementation involves formal notification to the debtor specifying the exact amount owed and the intent to maintain possession until full satisfaction occurs. A period of no less than two months typically follows the notification to allow the owner an opportunity to clear the arrears before further measures proceed. If the debtor remains in default after the grace period ends, the creditor gains the authority to sell the items through competitive bidding or private negotiation.
Proceeds from these transactions cover the initial debt along with any interest accrued and storage costs incurred throughout the retention window.
Operational Limitation
Creditors lose the right of retention immediately upon the voluntary surrender of the physical assets to the debtor or a third party. Contractual agreements sometimes explicitly waive the power to withhold property as a condition of service engagement, which forces the creditor to rely on standard litigation to recover funds. Any attempt to sell or dispose of the goods before the statutory notice period expires renders the creditor liable for damages arising from the unauthorized transfer.
The defense protects the value of work performed against the risk of insolvency, yet it requires rigorous documentation of the original delivery logs to survive a judicial audit.
