Specialised protective contracts prevent a Chinese manufacturer from using a foreign client’s proprietary information, competing with them, or bypassing them to sell to their customers. The nnn agreement is specifically designed to address the unique risks of the domestic market where a standard non disclosure agreement is often insufficient. It governs the three key areas of non disclosure, non use, and non circumvention to ensure that the factory remains a supplier rather than a competitor.
This legal instrument stops applying once the information enters the public domain through no fault of the manufacturer or when the agreed term of the contract expires.
Nonuse Restriction
Contractual prohibitions against using shared information for any purpose other than the agreed project are the most important part of the document. Under an nnn agreement, the factory is strictly forbidden from taking the designs, manufacturing processes, or customer lists of the foreign client and using them to create their own products. This is a common problem where a factory learns how to make a product and then starts selling a slightly modified version under their own brand.
The non use clause ensures that the factory can only act as an agent for the client. If they use the information for themselves, they are in breach of the contract even if they did not disclose the secrets to anyone else. This protection is vital for maintaining the competitive advantage of the brand owner.
Circumvention Prevention
Direct communication between a factory and the final customers of the foreign client is blocked by specific terms in the contract. The non circumvention portion of the nnn agreement stops the manufacturer from trying to cut the client out of the supply chain. This often happens when a factory realizes they can sell directly to the client’s distributors at a lower price.
By signing this agreement, the factory agrees that they will not contact any of the client’s partners or customers without written permission. If they do, they must pay a significant penalty that is usually defined as a liquidated damages amount. This keeps the supply chain secure and ensures that the client remains the sole point of contact for the market.
It also protects the wholesale and retail relationships that the client has built over time.
Enforcement Venue
Choosing the correct location and legal system for resolving disputes is the only way to make the contract effective. Unlike a standard western contract, an nnn agreement should usually be written in Chinese and governed by the laws of the People Republic of China. This allows for direct enforcement in a domestic court where the factory assets are located.
If the contract is governed by foreign law and resolved in a foreign court, it is almost impossible to enforce the judgment against a local factory. The agreement should also specify a liquidated damages amount that is high enough to deter a breach but low enough to be accepted by a Chinese judge. This amount should be payable immediately upon proof of the violation.
Having a locally enforceable contract is the most powerful tool for protecting intellectual property in the region.
