Administrative Risk
The administrative exposure of the representative extends to both civil disputes and regulatory audits. If a subsidiary fails to submit required environmental filings or violates local labor standards, the local market supervision bureau can issue administrative fines directly to the individual. During tax audits, the representative must answer personally for the company’s financial records.
This exposure makes the role highly risky for foreign employees who may not have day-to-day control over the firm’s local operations.
Corporate Protection
Firms must implement rigorous internal controls and indemnity agreements to protect the individuals appointed to this role. These agreements typically promise to cover all legal costs and fines incurred due to the representative’s official actions. However, these private contracts cannot prevent state authorities from executing border blocks or travel restrictions.
This limitation means that corporate indemnities only provide financial relief, not physical protection from administrative measures.

To manage this exposure, many multinational corporations appoint professional directors or specialized local managers to the role rather than senior global executives. This arrangement protects the global leadership team from sudden travel disruptions during disputes.
