Under the PRC Company Law, the legal representative is the individual who holds the statutory power to act on behalf of the corporation and sign legally binding agreements. The process of legal representative removal is initiated by the shareholders or the board of directors when the incumbent is dismissed, resigns, or becomes incapacitated.
It applies to all foreign-invested enterprises and joint ventures operating under Chinese jurisdiction. The boundary of this procedure is reached when the new representative is successfully registered with the local Administration for Market Regulation and the new corporate chops are issued. For foreign parent companies, managing this transition is a high-risk operation that requires careful coordination to prevent management deadlock or corporate hijacking.
Resolution Action
The initiation of this corporate change requires the execution of a valid internal resolution by the company’s governing body, as defined in its articles of association. This resolution must explicitly state the removal of the current representative and the appointment of the successor. The legal representative removal cannot be processed by government authorities without this formal document, which must be signed and stamped by the authorized shareholders or directors.
If the current representative is also a director or shareholder, they may attempt to block the resolution or refuse to sign the document, leading to an internal dispute. To overcome such resistance, the articles of association must contain clear provisions that allow a majority of shareholders or board members to authorize the change without the incumbent’s consent. This internal resolution is the necessary foundation for all subsequent administrative and banking updates.
Administrative Filing
Once the internal resolution is secured, the company must submit a formal application to the local Administration for Market Regulation to update its business license. This administrative step requires submitting the corporate resolution, the amended articles of association and the personal identification documents of the newly appointed representative. The legal representative removal is not legally complete until the authority issues an updated business license with the new representative’s name printed on it.
This filing process must be executed within a statutory timeline, usually within thirty days of the corporate resolution, to avoid administrative penalties. The Administration for Market Regulation will update the National Enterprise Credit Information Publicity System, which makes the change visible to the public and all commercial counterparties. This public record is essential for establishing the new representative’s authority in future commercial and banking transactions.
Operational Continuity
Transitioning the representative’s authority requires updating the company’s commercial bank accounts, tax registrations and physical custody of corporate chops. The newly appointed representative must personally visit the company’s primary bank to update the signature cards and register their personal seal. This bank update is critical because the previous representative’s seal can no longer be used to authorize transactions once the change is registered with the government.
Simultaneously, the company must recover all physical corporate seals from the removed representative to prevent them from executing unauthorized agreements or transfers. If the removed representative refuses to return the seals, the company must initiate a formal seal loss reporting and re-carving process.
