Meaning
Simplified certification methods allow public documents from one jurisdiction to be recognized in another without the need for traditional embassy legalization. A legal authentication apostille confirms the signature and seal of the issuing official but does not verify the content of the document itself. China joined the 1961 Hague Convention to improve the efficiency of cross-border corporate and legal transactions.
This change significantly reduces the time required for foreign investors to submit notarized powers of attorney or certificates of incorporation.
Convention Standard
Documents bearing the standardized certificate are exempt from further verification by the foreign ministry or the consulate of the destination country. The legal authentication apostille follows a specific ten-point format that is internationally recognized by all member states.
Issuing Authority
The Ministry of Foreign Affairs or authorized local foreign affairs offices are responsible for issuing these certificates within the mainland.
Recognition Scope
Authorities in the receiving country must accept the document as long as the legal authentication apostille is valid and the country is a member of the convention. This system applies to court documents, administrative filings and notarized private agreements. It eliminates the previous multi-step process that often took several weeks to complete.
Business entities now use this method to quickly authorize representatives for litigation or to set up new subsidiary companies.
