An independent accounting branch is a secondary corporate office that maintains its own balance sheet, tracks its profit and loss, and operates a detailed ledger. Tax Liability
Local tax authorities treat autonomous corporate divisions as separate units for the assessment of income and sales taxes. An independent accounting branch must file its own tax returns directly with the municipal tax bureau where it is physically located. This means the branch calculates its own taxable income and pays local surtaxes, rather than relying on consolidated filings from the parent company.
It must maintain dedicated tax registrations and undergoes individual tax audits by local bureaus.
Regulatory Limit
Entities with high accounting autonomy face stricter compliance requirements than those with integrated accounting setups. Selecting an independent accounting branch model forces the parent company to appoint a dedicated financial manager for the branch and maintain complex local accounting records. The branch cannot issue corporate shares or bonds on its own because it remains a component of the parent legal entity despite its accounting separation.
This operational division restricts the branch from taking on long-term debt without the explicit authorization and guarantee of the parent headquarters, which ensures that corporate liability remains centralized even when operational and reporting tasks are distributed across several provinces.
Financial Structure
The balance sheet of an autonomous division must include all localized assets and liabilities to satisfy regulatory scrutiny. When establishing an independent accounting branch, the parent company must allocate sufficient working capital to the branch account. The branch must use standardized accounting software that aligns with Chinese accounting standards, ensuring that all local revenues and expenditures are tracked accurately for regional statistical reporting.
