Security clauses embedded within cross-border equipment financing agreements create a non-possessory charge over imported machinery owned by Chinese manufacturing entities. A foreign equipment mortgage establishes a real property security interest over designated production line machinery, tooling or industrial instruments without transferring physical custody to the foreign lender. The security agreement must be executed in writing and explicitly identify the machinery by serial number, brand and location.
Perfection against third parties requires registration on the Unified Movables Registration System operated by the People’s Bank of China Credit Reference Center. Unregistered mortgages remain valid between contracting parties but lose priority to subsequent registered charges or bona fide buyers.

Debtors retain physical custody and operational control of mortgaged production units during the loan term. Registration filings contain debtor identification details, collateral descriptions and maximum secured debt amounts.
Failure to register leaves the foreign lender exposed to unregistered title transfers by the debtor.
Priority Conflict
Competing rights between mortgage holders and statutory lienholders are resolved based on perfection timestamps and statutory preference rules. A registered foreign equipment mortgage yields to subsequent possessory statutory liens created by repair shops that service the machinery. Statutory taxes owed by the equipment owner take priority over unregistered mortgage interests.
Judicial enforcement involves court-mandated auction or private sale under court supervision.
Enforcement Restriction
Foreign beneficiaries cannot unilaterally seize mortgaged equipment without court intervention inside mainland China. Creditors petition the local People’s Court to initiate judicial liquidation procedures. Remittance of sale proceeds remains subject to foreign exchange controls.
