An investment made by an overseas entity to establish a long-term interest in a mainland Chinese company through the acquisition of shares or the creation of a new facility. This foreign direct investment is regulated by the Foreign Investment Law which provides a framework for national treatment and protection against illegal government interference. The regime excludes sectors listed on the negative list which are either prohibited or restricted to domestic players.
Administrative Approval
Projects in restricted sectors require a formal green light from the National Development and Reform Commission before the company can register with the local market regulator. This step involves a review of the project’s impact on national security and its alignment with industrial policy. Once approved, the investor can proceed with the foreign exchange registration and the opening of capital accounts.
Capital Inflow
Funds must be remitted from an offshore source and the currency must be converted through a licensed domestic bank. The State Administration of Foreign Exchange monitors these transactions to prevent the illegal entry of speculative capital. Documentation showing the source of the funds and the identity of the beneficial owner is mandatory for every transfer.
This transparency allows the government to track the total volume of investment entering different regions and industries.
