Statutory termination of a foreign-invested enterprise requires a formal legal process of liquidation and administrative de-registration. Through FIE dissolution, foreign shareholders can legally recover remaining capital and close their onshore operating units. This procedure prevents the accumulation of dormant tax liabilities and avoids blacklisting of the legal representative.
Statutory Trigger
Corporate closure may occur due to the expiration of the joint venture contract, shareholder deadlock or insolvency. The decision must be approved by the company’s highest governing body and registered with the administration for market regulation.
Procedural Pathway
The dissolution process requires the establishment of a liquidation committee, which must publish a public notice to creditors in the National Enterprise Credit Information Publicity System. This committee takes control of the company’s seals, accounts and assets. Over a period of several months, the committee settles employee contracts, obtains clearance from the tax bureau and terminates customs registrations.
If the company operates in a regulated sector, the specialized industry licenses must be returned to their issuing authorities. Only after all administrative clearances are secured can the company apply to the administration for market regulation to formally cancel its business license.
Repatriation Channel
Remaining funds after the liquidation of assets can be distributed to foreign shareholders. This distribution requires a special registration with the State Administration of Foreign Exchange, allowing the bank to convert RMB balances into foreign currency.
