Meaning
A governance protocol governs the physical control and authorized use of a company official stamp within Chinese business operations. The practice of enterprise seal custody determines which individual holds the legal power to execute binding contracts on behalf of the corporation. This protocol prevents unauthorized transactions by disgruntled employees or rogue executives who possess physical access to the seal.
It does not apply to internal department stamps or general email correspondence.
Administrative Protocol
The designation of a formal custodian requires a board resolution and a signed duty agreement. In standard enterprise seal custody systems, the custodian must record every stamp action in a digital ledger detailing the document name and the signing authority. This record must be audited weekly by the compliance officer to ensure alignment with approved contract registers.
Legal Consequence
If the company fails to maintain control over its stamp, it can be held liable for contracts signed by unauthorized users. When weak enterprise seal custody allows an employee to execute an unauthorized contract, the company must prove that the counterparty acted in bad faith to escape liability. This proof is difficult to establish under Chinese civil law, which protects good-faith contracting partners.
Dispute Resolution
When a seal is lost or stolen, the enterprise must immediately publish a cancellation notice in a designated local newspaper and file a report with the public security bureau. This step halts the legal validity of the old stamp and allows for the carving of a new registered seal. However, the process requires presenting the original business license to the authorities.
During this transition period, all physical contract signings are suspended, creating significant delays in procurement and shipment schedules.
