A legal doctrine assigns personal responsibility to the legal representative of a company for corporate debts. Under enterprise representative liability, the individual named on the license faces restrictions if the company fails court orders.
Statutory Accountability
The Civil Code and the Company Law define the specific duties that a legal representative must fulfill on behalf of the entity. When a firm is unable to pay its creditors, enterprise representative liability allows the court to place the representative on a blacklist. This status prevents the person from taking high-speed trains, staying in luxury hotels, booking flights or sending children to expensive private schools.
Judicial practice often extends these restrictions to prevent the representative from serving as a director in any other firm for a period of three years.
Personal Restriction
Administrative penalties are applied without a separate trial once the underlying corporate default is established by a judge. Although enterprise representative liability is a powerful tool for creditors, it does not apply to every minor employee of the company. Only the person who holds the official title of legal representative is subject to these specific administrative sanctions.

Litigation often focuses on whether the representative acted in good faith or used the company as a shield for personal gain. A successful claim for enterprise representative liability can lead to the seizure of the individual’s personal property to satisfy corporate debts.
