Meaning
Administrative process of recording and protecting a business name with the State Administration for Market Regulation. Enterprise name registration is the first step in establishing a legal presence for a foreign invested entity in China. It involves a search for conflicts with existing names in the same industry and province.
The system ensures that no two companies operate under identical titles within a single jurisdiction. A successful filing grants the applicant the exclusive right to use the name for the duration of the business license. Proper naming is required for all subsequent banking and tax applications.
Name Structure
Standard nomenclature for a business includes the administrative division, the trade name, the industry characteristics and the organizational form. This enterprise name registration follows strict rules regarding the order and content of these four components. Foreign names are translated into Chinese characters and must not contain prohibited terms like National or China without special state level approval.
The trade name is the unique element that distinguishes the brand.
Filing Priority
Applications are processed on a first to file basis through an online portal. An enterprise name registration reserves the chosen title for a limited period, typically six months, while the rest of the company setup is completed. If the business is not formally incorporated within this window, the reservation expires.
This period allows for the preparation of articles of association.
Dispute Resolution
Conflicts between a registered name and a trademark are handled by the market regulation authorities or the courts. While enterprise name registration provides local protection, it does not automatically grant national trademark rights. A company might be forced to change its name if it infringes on a pre existing trademark.
This separation of systems requires investors to search both registries.
