Filing Procedure
Compliance rests with the local bureau of the State Administration for Market Regulation and the Ministry of Commerce. These entities review the source of the capital and verify that the target industry is open to foreign participants under the current Negative List. Successful downstream equity reinvestment results in an update to the enterprise registration showing the parent company as the shareholder of record.
Regulatory Bound
Reinvestment ceases to qualify for simplified treatment if the source of the funds is external to the identified entity profit. If a transaction involves the transfer of existing shares between cross-border partners, different approval gates apply. Tax deferral benefits associated with the reinvestment are only maintained if the assets remain dedicated to the industrial or commercial purpose defined in the approval letter.
