Governed by Article 22 of the PRC Civil Procedure Law, domicile jurisdiction reinforces the general statutory principle that a plaintiff must pursue a defendant in the defendant’s home tribunal. Foreign corporations initiating trade litigation against Chinese manufacturers must default to the court sitting where the vendor maintains its registered business license, unless a statutory exception or contractual clause provides an alternative venue.
This jurisdictional base ensures that local courts possess direct administrative authority over the defendant’s primary corporate management and principal bank accounts.
Corporate Connection
Legal establishment for domestic enterprises is determined by the business address registered with the local market supervision administration. For foreign entities without a registered office in China, domicile jurisdiction attaches to the primary representative office, principal asset location or main operating branch situated within Chinese territory. Plaintiffs must attach an official enterprise credit report or corporate registration file to the complaint to prove the target entity’s address before the tribunal will accept docketing.
Disputes over conflicting operational addresses are resolved in favour of the officially registered business license location.
Contractual Override
Written agreements between commercial entities may explicitly waive home forum rules by selecting alternative statutory venues. Parties to international sales agreements may contractually select the court at the place of contract signing, place of performance, plaintiff’s residence or subject matter location. Such forum selection clauses override general home court rules provided the designated court holds an actual connection to the commercial transaction.
Failure to state a valid statutory location renders the selection clause void and reverts venue to the defendant’s home court.
Jurisdictional Limit
Statutory exceptions override general home forum principles in specialized categories such as real estate disputes and port operations. Specialized maritime courts and intellectual property tribunals exercise exclusive jurisdiction over designated subject matters regardless of defendant location. Foreign parties cannot invoke home court rules to bypass these specialized judicial bodies.
