A domestic legal person must register with the State Administration for Market Regulation and maintain an independent budget and assets to be held liable for its debts. This status distinguishes the entity from its foreign shareholders and from non-incorporated branches, establishing it as a separate subject under Chinese law.
Establishment Standard
The creation of an independent corporate entity requires the satisfaction of statutory capital, structure, and registration requirements. To obtain the status of a domestic legal person, the founding shareholders must file articles of association and nominate a legal representative. This representative holds the authority to sign contracts and bind the entity in legal transactions.
A failure to complete the registration process leaves the founders personally liable for any pre-incorporation obligations.
Liability Structure
Separation of corporate assets from personal assets protects shareholders from direct liability for the entity’s debts. When a domestic legal person incurs liabilities, the creditors can only seek recourse against the registered assets of the entity itself. However, the courts can pierce the corporate veil if the shareholders abuse this status to evade debts or defraud creditors.

This public record allows potential business partners to verify the company’s registration, legal representative, and compliance history before entering into commercial agreements.
